Terms of Service
These Terms govern access to and use of Zyratek's website, consultation services, AI deployment work, automation systems and ongoing support engagements. By engaging with Zyratek, you agree to these Terms.
1. Services
Zyratek provides consultation, AI deployment, automation, CRM configuration, cloud setup, cybersecurity-conscious implementation and ongoing support services. The exact scope, deliverables and milestones for each engagement are defined in a written proposal, statement of work or service agreement.
2. Project timelines
Project timelines are agreed in writing before kick-off. Timelines assume timely client cooperation, including the delivery of required information, access to relevant systems, and decision-making within agreed review cycles.
3. Payment structure
- Fixed-scope projects are billed according to the milestones defined in the proposal
- Recurring services (monitoring, optimisation, support) are billed on a monthly or agreed cycle
- Invoices are payable within the period stated on the invoice unless agreed otherwise
- Late payments may pause active services until the account is brought current
4. Client responsibilities
- Provide accurate business information, FAQs, customer workflows and platform access required for delivery
- Designate an internal point of contact for review, decisions and approvals
- Operate any deployed systems in compliance with applicable laws and platform terms
- Ensure that data shared with Zyratek may lawfully be processed for the agreed purposes
5. Intellectual property
Final deliverables produced specifically for the client become the client's property upon full payment, except for Zyratek's pre-existing frameworks, methodologies, configurations, code libraries and reusable components, which remain the property of Zyratek. Zyratek may reuse generic know-how gained during engagements without exposing any confidential client information.
6. Confidentiality
Both parties agree to protect non-public information shared during the engagement and to use it solely for the purpose of delivering the agreed services. Confidentiality obligations survive the termination of the engagement.
7. Acceptable business use
Clients agree to use Zyratek systems and deliverables for lawful business purposes only, in accordance with the Acceptable Use Policy. Zyratek reserves the right to suspend or terminate engagements that violate these conditions.
8. Limitations of liability
To the maximum extent permitted by applicable law, Zyratek's aggregate liability arising from any engagement is limited to the fees paid by the client for the specific services giving rise to the claim. Zyratek is not liable for indirect, incidental or consequential damages, including lost revenue, lost profits or business interruption.
9. Termination
Either party may terminate an engagement in accordance with the terms of the relevant service agreement. Client data and deliverables in our possession may be transferred or deleted on request, subject to legal retention obligations.
10. Governing law
These Terms are governed by the laws of France, without prejudice to any mandatory consumer protection rules applicable in the client's jurisdiction.
